These Terms and Conditions of Use for the Y-Connect R Application (“Terms and
Conditions”) set forth the terms and conditions for using the Y-Connect R Application
(“Application”) for smartphones and the related Yamaha Subscription Services
(“Services”) required to access the connected features of Application, both
provided by India Yamaha Motor Private Limited ("Yamaha",
“we”, “us” or “our”).
Article 1 (Applicability of these Terms and Conditions)
- These Terms and Conditions shall apply to relationship between Yamaha and any individual user
("User", “you” or
“your”) using this Application and/or Services.
- We may make available other terms of use and/or precautions for the use of this Application and/or
Services separately from these Terms and Conditions on our website.
Article 2 (Definition)
Terms used in these Terms and Conditions shall have the following meanings.
- “Communications Provider” means any provider of cellular communications
capability to DTU (hereinafter defined).
- “Contract Period” means the period during which the User has agreed to
subscribe to the Service.
- "Device" means any mobile device which model shall be separately designated
by Yamaha, which is owned, possessed or managed by the User.
- "DTU" means a display telematics unit integrated with an embedded SIM card of
the Communications Provider, comprising both hardware and software components installed in the Vehicle
that enables the use of the Application.
- "Pairing" means the synchronization process between the DTU of the Vehicle
and the Application downloaded to your Device.
- “Privacy Policy” means the Y-Connect R and Yamaha Subscription Services
Privacy Policy, which governs the processing of personal data collected through the Application and the
Services.
- "Service Subscription” means the User’s agreement to subscribe to the
Services, which grants access to the connected features of the Application.
- “Service Charge” means the amount the User pays for the Service
Subscription during the Contract Period.
- "Vehicle" means a motorcycle equipped with a DTU owned, possessed or managed
by the User.
- “Yamaha Server” means the servers and other hardware and infrastructure
needed to provide the Service.
Article 3. (Agreement to these Terms and Conditions)
- The User will be deemed to have agreed to these Terms and Conditions at the time of pressing
“agree” button after downloading this Application to your Device. By pressing the
“agree” button, the User confirms that they have read and understood these Terms and
Conditions and the Privacy Policy.
- If the User is a minor, you are requested to have obtained the consent of the parent or other legal
guardian before using this Application and/or Services.
- The Application and the Services are intended only for Users who are at least 18
years of age. A User represents and warrants that they are at least 18 years old by accepting these
Terms.
- If a minor, as a User, has falsely agreed to these Terms and Conditions without acquiring the consent of
his/her parent or legal guardian or falsely informs his/her age and made Yamaha believe that he/she is
not a minor, the User shall not be able to revoke any act related to the Application and/or Services.
- If the User reaches the age of maturity and uses the Application which he/she has consented to the use
of while he/she was still a minor, the User is deemed to have acknowledged all legal actions related to
the Application and/or Services.
Article 4 (Application User Registration)
- Before using the Application, the User is requested to register the Device phone number, User’s
name and e-mail address at Yamaha’s authorized dealers in order to log in to this Application, as
described in the following sections.
- After the registration by Yamaha’s authorized dealers, the User shall complete the Application
registration process by entering directly in the Application the registered phone number, OTP number
received in the registered phone number, Vehicle’s VIN Number, User’s name, e-mail address,
Vehicle Registration Number, and any other information that we specify in the Application in accordance
with the processes as specified herein. User registration will be complete after receipt by Yamaha of an
application for User registration, unless there is any reason as specified in the section 4 of this
Article.
- The User shall enter true and accurate information at the time of application for the registration.
- In the event of any of the following, Yamaha may refuse to approve the User's application for
registration.
- If there is false, inaccurate, incorrect or missing information in the registration form;
- If the User is a member of anti-social force or has a relationship with anti-social force;
- If the User does not agree to these Terms and Conditions;
- In the case of violation of these Terms and Conditions; or,
- In cases that Yamaha determines, at its sole discretion, that the User is otherwise inappropriate for
registration.
- The processing and handling of registration information will be carried out in accordance with the
Privacy Policy.
Article 5 (Change of User Information)
- In case there are changes to the registered information, the User shall promptly update the registered
information in accordance with the process as our prescribed methods.
- Yamaha assumes no liability for any disadvantages or any damages that may be caused by any failure of
not updating the correct information as mentioned in the section 1 of this Article to the extent
permitted by the applicable law.
- Yamaha may rely on the previously provided information until such update is completed.
Article 6 (User’s Responsibilities to managing User Information in the Application)
- The User shall use and manage the User information within Application at his/her own risk, and Yamaha
will not be liable for any damages caused to the User by any misuse or loss of the Application or the
User information, or any unauthorized use of the User information by any third party to the extent
permitted by the applicable law.
- The User shall not make his/her User information available to any third party, assign, sell, lend, or
otherwise allow any third party to use his/her User information.
- Any use of the Application by a person other than the registered User through misuse of login
information shall be deemed to be use by the User.
Article 7 (Contents of this Application)
- This Application is only available to Users who have registered the Application.
- The User can use the Application on the User's Device by Pairing the DTU of the Vehicle with the
Application downloaded to the Device. The User can login on up to 3 devices simultaneously. The User
acknowledges that this Application downloaded to the Device cannot be paired with more than one Vehicle.
- Notes on use of the Application are available in the Need Help section of the Application. The User is
requested to refer to the contents in the Need Help section in case the User has any inquiry regarding
the use of the Application.
- The User acknowledges and agrees to, due to the specifications of this Application, there may arise
certain differences or inconsistencies between the display of the Vehicle and the display of the
Application on Device. For clarity, in case of any differences or inconsistencies between the display of
the Vehicle and the display of the Application on Device, the display of the Vehicle shall supersede the
display of the Application.
- It is free of charge for the User to use the Application on the User’s Device, however, the cost
of network of User’s Device shall be borne by the User.
- Application requires an active Service Subscription to use its connected features. By subscribing, the
User agrees to pay the applicable fees associated with such services. The User acknowledges that failure
to pay the Service Charge will result in the Application being placed in custody mode for a period of
ninety (90) days. If payment is not received within the custody period, access to the connected features
of Application shall be permanently disabled, and the User will be required to replace the DTU in order
to resume use of such connected features of the Application.
- Certain connected features require enabling permissions such as location and communication access and
functionality may be affected if permissions are withdrawn.
Article 8 (Device)
- The Application can be used on certain types of Device that are compatible to this Application. The User
acknowledges and agrees to that some or all of the functions of this Application may not be available
depending on the model of the User's Device or the version of the operating software, i.e., Android
OS or iOS.
- The User shall prepare his/her own Device (including operating software) and network lines, etc.
required for using the Application at his/her own responsibility.
- The User shall use this Application at his own risk and responsibility to manage the Device to which the
Application has been downloaded and Yamaha shall not be liable for any damages caused by theft of the
Device, misuse of the Device, use of a third party, or unauthorized access, etc. to the extent permitted
by the applicable law.
- This Application requires permission to access certain functions, such as, contacts, incoming call
notification, etc. of the Device. When using these function, Yamaha will not be liable for any damages
caused by not accepting permission to these functions mentioned above to the extent permitted by
applicable law.
- Details regarding personal data accessed through such permissions and controls available to the User are
set out in the Privacy Policy.
Article 9 (Usage restrictions)
- The User is prohibited to copy, modify, transmit, publish, distribute, assign, lend, translate or
sublicense the Application, its contents or any information provided with the Application.
- The User is not allowed to use this Application for illegal or commercial purposes.
Article 10 (Prohibited Items)
The User is prohibited to perform any of the following acts when using this Application.
- To use the Application using other user's information;
- To infringe any intellectual property rights of Yamaha or any third party;
- To infringe or threaten to infringe on any property, rights, and privacy of Yamaha or any third party;
- To conduct defamation of Yamaha or any third party;
- To modify the computer programs of the Application;
- To violate domestic and foreign communication network rules that apply to the User and/or the
Application when communicating through domestic and foreign communication networks;
- To cause interference to the operation of the Application;
- To violate applicable laws, regulations, ordinances, or public policy or public moral;
- To use the Application outside of the geographical region where the Application is available for
download;
- To violate the provisions of these Terms and Conditions; or,
- To conduct any acts we consider to be as inappropriate as any of the above 1-10 for the User of the
Application.
Article 11 (Purchase of Service; Scope of Service)
- A Service Subscription must be purchased to access and use the Service. The Service Subscription may be
purchased in person at Yamaha’s authorized dealers, but the Service Charge shall be paid in the
Application. The Service Subscription incorporates and is governed by these Terms & Conditions.
- By purchasing the Subscription Service, the User represents that they are at least 18 years old and are
not a person barred from receiving services under the laws of the India or other applicable
jurisdiction.
- The Service includes cellular communication between the DTU and the Yamaha Server.
- Service Charges, billing cycles and payment instructions (if any) will be displayed within the
Application and may be updated from time to time.
Article 12 (Service Availability)
- Cellular access to the Service is available within India. All cellular communication between a DTU and
the Yamaha Server is included in the Service Charge. The Service relies upon the availability of
adequate cellular service to the DTU and the Yamaha Server.
- Cellular coverage may vary and may be unavailable or inadequate in some areas, which may result in the
Service functioning more slowly, functioning intermittently, or not functioning at all. Yamaha makes no
representation or warranty as to the adequacy of coverage in any particular area. The User acknowledges
that the availability of the Service may be affected by factors outside the Yamaha's control such
as, but not limited to, physical obstructions, availability of Internet connections, routing of data
over the Internet, weather, atmospheric conditions and other causes of radio interference, your
geographic location relative to the coverage area, your proximity to wireless cell sites, the capacity
of a cell site; the number of other customers connected to the same cell site, other network capacity
limitations and congestion; and by faults in other telecommunication networks and systems to which the
Network is connected, including network outages or issues on the networks of our Communications
Providers or interconnecting carriers. The User further acknowledges that the provision of the Service
to User relies on the proper functioning of telecommunications equipment not under Yamaha’s
control. Specifically, User acknowledges that:
- The Yamaha Server and mobile telecommunications systems operated by the Communications Providers
are inherently capacity constrained;
- Access to the Service may be refused or limited, without liability to Yamaha or any
Communications Provider, due to capacity limitations, including capacity limitations due to any
repair, testing, upgrade or modification work on the Yamaha Server or mobile telecommunications
systems operated by the Communications Providers;
- Emergency access on mobile telecommunications systems operated by the Communications Providers
by public safety organizations may preempt the User’s use of such systems;
- The Service is subject to disruptions and/or deficiencies caused by weather, atmospheric or
terrain conditions, or in-building conditions.
- Accordingly, the User agrees that Yamaha’s obligations to provide the Service to User is subject
to each of the following:
- The availability and proper functioning of the mobile telecommunications systems owned and/or
operated by the Communications Providers;
- The proper functioning of any third-party gateway operator or carrier system relied upon to
complete a transmission or call (such as long-distance, roaming, exchange or interconnection
providers); and
- The availability of capacity on the mobile telecommunications systems operated by the
Communications Providers.
- In connection with any adverse effect on the quality and availability of the Service described above,
neither the Yamaha nor any Communications Provider shall incur any liability to the User whatsoever.
Notwithstanding such effects to the Services during the Contract Period, the User shall remain liable
for the payment of the Service Charge.
Article 13 (Contract Period)
The Service Subscription has a defined Contract Period, which commences on the date the first Billing Cycle,
as defined below, starts. If the User cancels the Service Subscription during the Contract Period, Yamaha
will not refund or return any portion of the Service Charge already paid under any circumstances.
Article 14 (Use of the Built-in SIM Card)
- The DTU has a built-in SIM card which belongs to the Yamaha and not the User. The Yamaha reserves the
right to suspend and/or cancel the Service and permanently terminate the SIM card if:
- the User fails to pay Service Charge during the Contract Period or otherwise violates Service
Subscription or these Terms and Conditions;
- the User uses the Service in a way that harms the network or is abusive or illegal;
- the User elects to terminate the Service;
- the SIM card is abused in any way or is removed from the DTU.
- The built-in SIM card cannot be replaced or changed. If the SIM is permanently terminated for any of the
reasons stated above, the User must purchase a new DTU to resume Service.
Article 15 (Service Charges)
The User is required to pay the Service Charge promptly during the Contract Period or for as long as the
Service Subscription is in effect. Payment for the Service Subscription will be made annually through the
in-app payment system. All payments are non-refundable. Upon the User’s failure to pay the Service
Charge when due, Yamaha reserves the right to limit or terminate the User’s use of the Service and/or
terminate the Service Subscription. Yamaha further reserves the right to adjust prices, terms, and
conditions at its sole discretion, including adjustments required by a Communications Provider. Yamaha may
not charge a Service Charge during the initial Contract Period. Yamaha may change these Terms and Conditions
from time to time, and such changes may take effect immediately without prior notice to the User. If
applicable, The User is responsible for any taxes, levies, or duties related to transactions.
Article 16 (Use of Data; Privacy Policy)
Yamaha’s use of User information and data stored on its Yamaha Servers, including data provided by the
DTU and Application, is subject to the Yamaha’s Privacy Policy, the terms of which are incorporated
herein and made a part of this Agreement. User can access a copy of the Yamaha’s privacy policy at https://www.yamaha-motor-india.com/.
In respect of all personal data collected through the Application and the Services, the Y-Connect R and
Yamaha Subscription Services Privacy Policy available in the Application shall apply and shall prevail in
the event of any inconsistency. The Privacy Policy provides details of how personal data is collected,
stored, used, retained, shared and deleted and explains rights available to Users and how to contact us for
any queries or concerns.
Article 17 (Prohibition of Transfer of Rights)
- The User is not permitted to transfer the right to use this Application and and/or Services to any third
party.
- In the event of a transfer of ownership of the Vehicle to a third party, the User shall promptly
terminate the subscription to the Service. The new owner shall be required to purchase a new DTU and
enter into a new subscription agreement for the Service. Yamaha reserves the right (but is not
obligated) to terminate the Service Subscription once notified of the sale of the Vehicle by the User, a
person authorized to act on User’s behalf, a dealer, or a new owner or a lessee.
- Yamaha shall not be liable for any issues, disputes, or damages arising from the sale or transfer
transaction of Vehicle between the User, a new owner or lessee of the Vehicle, or anyone else may suffer
as a result or in connection with User’s failure to properly terminate the Service Subscription
upon transfer of ownership.
Article 18 (Suspension or Termination of Application and/or Service)
- In case Yamaha acknowledges the following, Yamaha may suspend or terminate the use of the Application
and/or Service by the User without prior notice to the User. Yamaha assumes no liability for any damages
incurred on the User to the extent permitted by the applicable law.
- If there are false, inaccurate, incorrect, or missing information in the registered information
to the Application;
- If information of the User necessary for the use of the Application and/or Service, including
the registered information, is deleted at the request of the User;
- If the User belongs to any anti-social force or has any relationship with any anti-social force;
- If the User does not agree to these Terms and Conditions;
- If the User violates any of these Terms and Conditions; or,
- If Yamaha determines the User is as inappropriate as any of the above a-e as a user of the
Application.
- Uninstallation of this Application or cessation of use thereof will not automatically terminate Service.

- Yamaha shall not be liable for any damages incurred by the User as a result of the User’s failure
to submit a termination request.
- As a result of request for deletion of User information of the Application, the User agrees in advance
that the User will not be able to use the Application and/or Service. Such deletion will be
carried out in accordance with applicable laws and the Privacy Policy including retention requirements
for compliance or dispute handling purposes.
Article 19 (Effect of cancellation and termination)
Yamaha will delete the User's personal information obtained through this Application when the User
cancels use of the Application or Yamaha terminates the use of this Application by the User. However,
information provided by the User except for those information other than personal information (including
anonymized processed information) may continue to be stored and may be used as statistical data. Any
deletion of personal data under this Article will be carried out in accordance with applicable legal and
regulatory requirements relating to personal data retention and secure deletion.
Article 20 (Deletion of information)
- Yamaha may delete information and other content registered by the User, including but not limited to
usage history, without notifying the User. Yamaha shall not be liable for any disadvantage or damage to
the User due to such deletion of information to the extent permitted by the applicable law.
- The User acknowledges and agrees that Yamaha may disclose the information of the User upon request from
any governmental organization or pursuant to any applicable law or regulation.
- Any deletion or disclosure of personal data pursuant to this Article will be undertaken subject to
applicable law and the Privacy Policy.
Article 21 (Modification or termination of provision of this Application)
- Yamaha may modify, add or delete any contents of this Application in whole or in part without notifying
the User.
- Yamaha will not be liable for any damages caused to the User due to any modification, addendum or
deletion of the contents to the Application to the extent permitted by the applicable law.
Article 22 (Temporary interruption of the Application)
In any of the following cases, Yamaha may temporarily suspend the provision of services of the Application
without notifying the User. In such case, Yamaha assumes no liability for any damages caused to the User to
the extent permitted by applicable law.
- Periodic or emergency system maintenance of this Application;
- Inability to provide service of the Application due to a fire, power failure, any natural disasters such
as earthquakes, floods, tsunami, war, riots, disturbances, labor disputes, etc.
- Suspension of communication network service, including but not limited to, any failure to the network or
any failure due to the using environment of the Application by the User;
- Cases Yamaha determines that it is necessary to temporarily suspend the provision of service of the
Application, for any reason including operational or technical problems.
Article 23 (Intellectual Property Right)
- Any intellectual property, including but not limited to, copyrights, patents, trademarks and design
rights of text, images, photographs, sound, videos, information, etc. ("Contents”) provided
through this Application and/or Service and all related or underlying software belongs to Yamaha. The
User shall not use any copyrighted materials acquired through this Application beyond the scope
explicitly permitted by these Terms and Conditions. Nothing contained herein shall be construed as
granting to the User any license of any intellectual property rights related to the Application owned by
Yamaha.
- Copyright and any and all other rights relating to any comments from the User related to this
Application and/or Service will belong to Yamaha. The User making such comments to us shall not exercise
the rights of the copyright holder for such comments.
- By registering for the Service and paying the applicable Service Charge, the User acquires only a
limited, non-transferable right to access and use the Service in accordance with these Terms and any
other applicable policies. No ownership rights are transferred to the User.
Article 24 (Amendment to these Terms and Conditions)
- The User acknowledges and agrees that Yamaha may from time to time make revisions to the contents of
these Terms and Conditions at any time without the consent of the User.
- Yamaha will notify the User of any revisions to these Terms and Conditions either on Yamaha’s
website or on the Application or any other means that the User can refer to.
- Revisions to the Terms and Conditions takes effect as soon as Yamaha issues notices of any revision in
accordance with the previous paragraph. In case of any revision to the Terms and Conditions that may
have significant impact on the User, Yamaha will notify the User of any revision with a reasonable
notice period.
- If the User uses or logs into the Application after any revision of these Terms and Conditions takes
effect, the User is deemed to have agreed to the revised Terms and Conditions.
- In case revisions materially affect User rights or obligations, Yamaha will provide reasonable notice to
affected Users.
Article 25 (Disclaimer)
- Use of the Application and/or Service is at the User’s sole risk. The Application and/or Service
is provided on an “as is” and “as available” basis. Yamaha expressly disclaims
all warranties of any kind, whether express or implied. Yamaha makes no warranty that (i) the
Application and/or Service will meet the User’s requirements, (ii) the Application and/or Service
will be uninterrupted, timely, secure, or error-free, or (iii) any errors in the underlying software
will be corrected. No advice or information, whether oral or written, obtained by the User from the
Yamaha or through or from the Application and/or Service will create any warranty not expressly stated
in these terms.
- Yamaha will not be liable for any damages arising from modification, interruption or termination of the
contents of this Application and/or Service to the extent permitted by the applicable law.
- Yamaha will not be liable for any damages caused by use or inability to use this Application and/or
Service to the extent permitted by the applicable law.
- Yamaha does not assume any responsibility whatsoever for the User's use or inability to use the
Application and/or Service in any environment to the extent permitted by the applicable law.
- Yamaha makes no warranties regarding operation, fitness, usefulness, accuracy and completeness of the
Application and/or Service for any particular purpose.
- Yamaha will not be liable for any damages to any User to the extent permitted by the applicable law in
cases when;
- Even though Yamaha has taken considerable security measures, unauthorized access by third
parties or illegal acts such as intrusion of computer viruses have occurred; or,
- Disruption, delay, or inability to use the Application and/or Service or loss of information on
the Application due to the failure of communication lines, systems, servers, etc.
- Yamaha does not guarantee that this Application is compatible with all devices, and the User
acknowledges that there may be problems with the operation of this Application due to the version
upgrade of operation systems such as Android OS or iOS provided for the use of this Application. Yamaha
does not warrant that such problems will be resolved by modification of the programs we make in the
event of such problems.
- The User shall acknowledge in advance that use of some or all of this Application may be restricted due
to changes in the Terms and Conditions and operational policy of the service store, such as App Store,
Google Play.
- Yamaha shall not be liable for any dispute between the User and any third party (including but not
limited to other users of the Application) regarding the use of this Application and/or Service.
- If any third party claims to Yamaha for damages due to the act or omission of the User, the User shall
resolve this at the User's expense (including attorney's fee) and responsibility. If Yamaha pays
such third party for damages, the User shall indemnify Yamaha for any fees, including attorney's
fees and lost profits, including damages.
- If the User incurs any damages to Yamaha in connection with the use of the Application and/or Service,
the User shall indemnify Yamaha.
- Neither the Yamaha nor any Communications Provider is liable for any damages incurred as a result of the
Application and/or Service not being available. User recognizes that factors outside the Yamaha’s
and the Communication Provider’s control may affect the quality of the Service. Yamaha takes no
responsibility for any data stored on the Yamaha Servers by the User that may be offensive, incorrect or
fraudulent. User hereby waives any right to make a claim against Yamaha or any Communications Provider
for losses, damages, liabilities, judgments, fines, amounts paid in settlement, expenses and costs of
defense sustained by reason of any unavailability, delay, faultiness or failure of the Application
and/or Service or the DTU that result from any claim, demand, suit, action or proceeding brought or
initiated by a third party, including, without limitation, actions by any governmental authority.
- IN NO EVENT SHALL YAMAHA OR ANY COMMUNICATIONS PROVIDER BE LIABLE TO THE USER OR ANY THIRD PARTY FOR ANY
DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES,
INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR DIMINISHED VALUE, ARISING FROM OR RELATED TO
THE USER’S USE OF OR INABILITY TO USE THE APPLICATION, SERVICE OR DEVICE. THIS LIMITATION APPLIES
REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER THE YAMAHA WAS ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES, AND (C) THE LEGAL OR EQUITABLE THEORY (INCLUDING BREACH OF CONTRACT,
NEGLIGENCE, OR STRICT LIABILITY) ON WHICH THE CLAIM IS BASED.
Article 26 (Severability)
If any provision of these Terms and Conditions is held invalid or unenforceable, wholly or in part, the
validity or enforceability of other provisions shall not be affected thereby. The invalid or
unenforceable provision shall be deemed replaced by such valid and enforceable provision which serves best
the economic interest of the User and Yamaha that was originally pursued by the invalid or unenforceable
provision.
Article 27 (Governing Law & Jurisdiction)
- These Terms and Conditions shall be governed by and construed in accordance with the laws of India.
- Any dispute between the User and Yamaha with respect to these Terms and Conditions or use of this
Application shall be finally settled in arbitration in Chennai under the provisions of the Arbitration
and Conciliation Act, 1996.
Article 28 (Governing Language)
English shall be the governing language of these Terms and Conditions. Any version in any other language is
for convenience purpose only.
